1. Introduction

Welcome to Noteal.

These Terms of Service (“Terms”) govern your access to and use of the Noteal platform, including the website located at noteal.cc, as well as any related applications, services, features, and content provided through the platform (collectively, the “Service”).

Noteal is an AI-powered project management and note-taking platform designed to help individuals, small teams, and medium-sized teams organize projects, generate structured tasks using artificial intelligence, manage workflows, and collaborate more effectively.

The Service is operated by Noteal Labs, developed and maintained by Byron Pfukwa.

By accessing or using the Service, creating an account, or interacting with any part of the platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including individuals, team members, organizations, and any other entities that access or use the platform.

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Noteal Labs regarding your use of the Service available at noteal.cc.

If you do not agree to these Terms, you must not access or use the Service.

By creating an account or continuing to use the Service, you represent and warrant that you have the legal capacity and authority to enter into this agreement and comply with these Terms.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms “you” or “User” will refer to both you and the entity you represent.

Your continued use of the Service following any updates or modifications to these Terms constitutes acceptance of those changes.

3. Eligibility

To use the Noteal platform (the “Service”), you must meet certain eligibility requirements.

By accessing or using the Service, you represent and warrant that:

  • You are at least 13 years of age or the minimum legal age required in your jurisdiction to use online services.
  • You have the legal capacity to enter into a binding agreement.
  • You will comply with all applicable laws and regulations when using the Service.

If you are under the age of 18, you may only use the Service with the involvement and consent of a parent or legal guardian.

The Service is intended for individual users, small teams, and organizations that wish to use AI-powered tools for project management, task organization, and note-taking.

Noteal Labs reserves the right to suspend or terminate access to the Service if we determine that a user does not meet these eligibility requirements or has provided false information during account registration.

4. User Accounts

To access certain features of the Noteal platform (the “Service”), you may be required to create a user account.

When registering for an account, you agree to provide accurate, current, and complete information and to keep this information updated at all times.

You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree not to share your login credentials with any third party.

If you believe that your account has been compromised or accessed without authorization, you must notify us immediately at legal@noteal.cc.

You are solely responsible for all activities that occur under your account, including any content, projects, tasks, or notes created using the Service.

Noteal Labs reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activities that may harm the platform, other users, or the integrity of the Service.

5. Use of the Service

Noteal provides an AI-powered platform designed to help users plan, organize, and manage projects, generate structured tasks using artificial intelligence, and create and manage notes.

Subject to these Terms, Noteal Labs grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, professional, or organizational purposes.

Users may use the Service to:

  • Create and manage projects, tasks, and notes
  • Use AI-powered tools to generate structured tasks and workflows
  • Organize ideas, documentation, and planning materials
  • Collaborate with team members within the platform
  • Access and manage project-related information through the Noteal interface

You agree to use the Service only for lawful purposes and in accordance with these Terms. Your use of the Service must not interfere with the normal operation of the platform or negatively impact other users.

Noteal Labs reserves the right to modify, update, or discontinue features of the Service at any time in order to improve performance, maintain security, or enhance user experience.

6. Prohibited Activities

When using the Noteal platform (the “Service”), you agree not to engage in any activities that may harm the Service, other users, or the integrity of the platform.

You agree that you will not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the platform.
  • Interfere with or disrupt the operation, security, or performance of the Service.
  • Attempt to reverse engineer, decompile, copy, or otherwise extract the underlying source code, algorithms, or technology used to operate the Service.
  • Use automated systems, bots, scrapers, or similar technologies to access or extract data from the Service without authorization.
  • Abuse or misuse any artificial intelligence features provided by the Service.
  • Upload, transmit, or distribute malicious code, viruses, or harmful software.
  • Use the Service to distribute spam, unsolicited communications, or deceptive content.
  • Attempt to exploit system vulnerabilities, bypass security mechanisms, or manipulate platform features in unintended ways.

Noteal Labs reserves the right to investigate and take appropriate action against users who violate these rules, including suspending or terminating accounts and restricting access to the Service.

7. User Content

The Noteal platform allows users to create, upload, store, and manage content, including but not limited to projects, notes, tasks, prompts, text, and other materials (collectively, “User Content”).

You retain full ownership of any User Content that you create or submit through the Service.

By using the Service and submitting User Content, you grant Noteal Labs a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your User Content solely for the purpose of operating, maintaining, and improving the Service.

You are solely responsible for the User Content that you create, upload, or share through the platform. You agree that your User Content will not:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Contain harmful, malicious, or misleading material
  • Be used to engage in unlawful or abusive behavior

Noteal Labs does not claim ownership of your User Content. However, we reserve the right to remove or restrict access to any content that violates these Terms or may harm the Service or its users.

You acknowledge that you are responsible for maintaining your own backups of important content and that Noteal Labs is not responsible for the loss of any User Content.

8. AI-Generated Content Disclaimer

The Noteal platform includes features powered by artificial intelligence that may generate tasks, project structures, recommendations, summaries, or other content based on information provided by users.

AI-generated outputs are produced automatically by software systems and may not always be accurate, complete, reliable, or suitable for every situation.

You acknowledge and agree that:

  • AI-generated content is provided for informational and productivity purposes only.
  • Outputs generated by the Service may contain errors, omissions, or unintended results.
  • You are responsible for reviewing, verifying, and approving any AI-generated tasks, plans, or content before relying on them.

Noteal Labs does not guarantee the accuracy, reliability, or usefulness of any AI-generated output and shall not be responsible for decisions, actions, or outcomes that result from the use of such content.

By using the AI features of the Service, you agree that all AI-generated results should be treated as suggestions or assistance tools rather than definitive instructions.

9. Subscription Plans and Payments

Noteal may offer both free and paid subscription plans that provide access to different features and usage limits within the Service.

Free plans may include limited access to certain features, including restrictions on the number of projects, AI-generated tasks, or other platform capabilities. Noteal Labs reserves the right to modify these limitations at any time.

Paid subscription plans, if offered, may provide expanded access to features, higher usage limits, and additional functionality. Details regarding pricing, billing cycles, and included features will be made available on the Noteal website or within the Service.

If you choose to subscribe to a paid plan:

  • You agree to pay all applicable fees associated with your selected subscription.
  • Payments may be billed on a recurring basis depending on the subscription plan.
  • You authorize Noteal to charge the payment method provided for all applicable fees.

Subscriptions will automatically renew at the end of each billing cycle unless canceled before the renewal date.

All fees are non-refundable unless otherwise required by applicable law. Noteal Labs reserves the right to change pricing or subscription features with reasonable notice to users.

Failure to pay subscription fees may result in suspension or termination of access to paid features of the Service.

10. Intellectual Property

The Noteal platform, including its software, design, user interface, features, functionality, branding, logos, and underlying technology, is the property of Noteal Labs and is protected by applicable intellectual property laws.

All rights, titles, and interests in and to the Service, including any updates, improvements, or modifications, remain the exclusive property of Noteal Labs and its licensors.

Except for the limited rights granted under these Terms, no part of the Service may be copied, modified, distributed, sold, licensed, or otherwise exploited without prior written permission from Noteal Labs.

Users are not permitted to:

  • Copy, reproduce, or distribute any part of the Service without authorization
  • Modify, adapt, or create derivative works based on the platform
  • Use the Service’s branding, logos, or trademarks without permission
  • Attempt to reverse engineer or replicate the technology behind the Service

Nothing in these Terms grants users any ownership rights in the Service or its intellectual property. Users are granted only a limited right to access and use the platform in accordance with these Terms.

12. Service Availability

Noteal Labs strives to provide reliable access to the Service. However, we do not guarantee that the Service will be available at all times or without interruption.

The Service may occasionally be unavailable due to maintenance, system updates, technical issues, or factors beyond our control.

Noteal Labs reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice in order to improve performance, maintain security, or introduce new features.

We are not responsible for any loss, damage, or inconvenience resulting from temporary interruptions or unavailability of the Service.

13. Account Termination

Noteal Labs reserves the right to suspend or terminate your account or access to the Service at any time if you violate these Terms or engage in behavior that may harm the platform or its users.

You may stop using the Service and delete your account at any time.

Upon termination of your account, your access to the Service may be immediately revoked, and certain data associated with your account may be deleted in accordance with our data retention policies.

Noteal Labs shall not be liable for any loss resulting from the suspension or termination of your account.

14. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis.

Noteal Labs makes no warranties or representations regarding the reliability, availability, accuracy, or performance of the Service.

To the maximum extent permitted by law, Noteal Labs disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Use of the Service is at your own risk.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Noteal Labs and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Service.

This includes, but is not limited to:

  • Loss of data
  • Loss of profits
  • Business interruptions
  • Errors or inaccuracies in AI-generated outputs
  • Unauthorized access to user accounts

In no event shall the total liability of Noteal Labs exceed the amount paid by the user (if any) for access to the Service during the preceding twelve months.

16. Indemnification

You agree to defend, indemnify, and hold harmless Noteal Labs and its operators from and against any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Any content you create, upload, or share through the platform

This obligation will survive the termination of your use of the Service.

17. Changes to the Terms

Noteal Labs may update or modify these Terms of Service from time to time in order to reflect changes to the platform, legal requirements, or operational practices.

When updates are made, the revised Terms will be posted on the Noteal website.

Your continued use of the Service after such changes become effective constitutes acceptance of the updated Terms.

These Terms of Service shall be governed by and interpreted in accordance with the laws of Zimbabwe, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the use of the Service shall be subject to the jurisdiction of the appropriate courts located in Zimbabwe.
